Biography

Mr. Phung Anh Tuan is the Managing Partner of PTN Legal with about 20 years of experience in legal consulting. He spent 11 years at the Legal Department of Vingroup, where he directly handled, or was primarily responsible for coordinating with local and international law firms on, sophisticated and significant transactions for the group and its subsidiaries.

His main areas of practice include mergers and acquisitions, domestic and offshore borrowing, domestic and international bond issuances, capital raising from foreign strategic investors, project development and sales of real estate products. Before that, he worked for over 4 years at Vision & Associates, including more than 3 years as Deputy Manager of the Consulting Practice.

Mergers and acquisitions

  • Involved as in-house counsel in the merger of two joint stock companies to form a leading Vietnamese private conglomerate
  • Advised the buyer on acquiring 10% of a state-owned textile group as a strategic investor in its equitisation IPO, and 80% of a state-owned exhibition company in its equitisation IPO
  • Advised the buyer on acquiring 100% of the owners of several supermarket chains and of a chain of more than 200 mobile phone and electronics stores for integration into the client’s retail network
  • Advised the buyer on acquiring 80% of a logistics and express delivery company, 70% of a real estate project company, 40% of a listed animal feed producer, and 43.6% and 15.02% of two clean water suppliers
  • Advised the seller on block placements of HOSE-listed shares to foreign investors (21.6 million, 71 million and 380.2 million shares) and on a sale of shares with investment rights in a subsidiary of up to USD 750 million
  • Involved as in-house counsel in the transfer of the retail and agriculture businesses of a leading Vietnamese conglomerate to a major listed consumer group

Finance and capital markets

  • Involved as in-house counsel in international convertible, exchangeable and high-yield bond issuances listed on the Singapore Exchange, each from USD 200 million to USD 500 million
  • Advised the borrower on international syndicated loans arranged by international banks from USD 100 million to USD 950 million, some guaranteed by a European export credit insurer or a Vietnamese commercial bank
  • Advised the borrower on a VND 10,000 billion syndicated loan from three state-owned commercial banks
  • Involved as in-house counsel in two domestic bond issuances guaranteed by an ADB-backed credit guarantee facility (VND 3,000 billion in total)
  • Involved as in-house counsel in block placements of shares to foreign investors of up to USD 1.35 billion in the IPO of a leading Vietnamese real estate company

Real estate

  • Involved in the sale of the office area of a tower in a Hanoi commercial centre and the sale of a shopping centre in District 1, Ho Chi Minh City
  • Advised the buyer on acquiring land for shopping malls in Da Nang and Ho Chi Minh City, a site for a five-star hotel in Nha Trang, and mixed-use and new urban area projects in Hanoi for high-end apartments
  • Advised the seller on the sale of an office and retail land plot in a District 1 complex and of an entire resort project in Quy Nhon
  • Advised the seller on sales of land plots for high-rise apartments and low-rise housing in large townships in Hanoi, Ho Chi Minh City and Hai Phong to Japanese investors

Investment

  • Advised the investee on capital raisings from Singapore’s sovereign wealth fund (USD 500 million, USD 300 million and USD 180 million), an international private equity fund (up to USD 300 million) and an Omani government fund (USD 25 million), through ordinary and preferred shares, convertible loans and exchange rights into subsidiary equity
  • Involved as in-house counsel in investments by a Korean insurance group (USD 400 million, preferred shares) and a Korean conglomerate (USD 1 billion, ordinary shares)
