Biography

Ms. Quach Mai Phuong is a Senior Associate at PTN Legal with more than 7 years of legal practice and research. Before joining PTN Legal, she worked at well-known Vietnamese law firms Venture North Law and Leadco Legal Counsel.

She advises domestic and foreign clients on investment, banking and finance, mergers and acquisitions, corporate governance and labour across key industrial sectors. Her practical, solution-oriented approach and understanding of clients’ priorities and business environment help her develop legal strategies that resolve complex issues, ensure compliance and support commercial objectives.

Mergers and acquisitions

  • Legal due diligence for the acquisition of land use rights and attached assets by a Japanese investor from a state-owned enterprise to develop a hotel in Hoi An
  • Transaction structuring and legal due diligence for a factory and showroom project of a German automobile manufacturer in Ecopark, Hung Yen
  • Transaction structuring and legal due diligence for the acquisition of industrial land use rights by an Italian textile and dyeing company in Hung Yen
  • Transfer of 75% of two food and beverage distributors in Ho Chi Minh City to a Japanese investor (USD 5 million)
  • Acquisitions of real estate projects in Hanoi and Ho Chi Minh City valued at about USD 560 million and USD 365 million

Finance and capital markets

  • Registration and amendment of foreign loans with the State Bank of Vietnam for borrowers in solar energy, automotive finance, industrial park infrastructure and real estate (USD 10 million to USD 250 million)
  • Amendments to Singapore-listed international bonds and registration with the State Bank of Vietnam for a real estate group in Ho Chi Minh City (USD 335 million)
  • More than 15 private placements of non-convertible, non-warrant corporate bonds by real estate and trading companies, each from about VND 900 billion to VND 8,050 billion
  • Credit facilities and secured transactions between a solar energy group and a state-owned commercial bank
