Biography

Mr. Nguyen Huu Chat is a Partner at PTN Legal with over 13 years of professional experience. He spent nearly a decade at Vingroup, providing legal counsel across industrial manufacturing (automobiles and mobile phones), technology, healthcare, education, e-commerce, real estate, corporate governance, overseas investments and the development of the group’s legal compliance system.

Before Vingroup, he worked at Maritime Bank and at InvestConsult Law Firm LLC, one of Vietnam’s longest-established law firms.

Investment

  • Advised a Vietnamese automaker on joint ventures with a Korean chemical group (electric motorcycle batteries), a Thai group (automotive parts, including the partner’s later divestment) and a Vietnamese plastics company (automotive plastic parts)
  • Advised an energy company on a joint venture with an international battery group to produce lithium batteries for electric vehicles
  • Advised and represented a leading Vietnamese conglomerate and its subsidiaries on outbound investment registrations in the United States, Germany, France, the Netherlands, Canada, Singapore, South Korea, Japan, Israel, Russia, India, Indonesia, Laos and Cambodia, totalling over USD 1 billion of registered capital
  • Assisted individual clients with outbound investment registrations in the United States and Singapore, and advised Japanese, Chinese and Singaporean investors on setting up businesses and registering investment projects in Vietnam

Real estate

  • Advised the buyer on acquiring part of an 8.5-hectare residential project in Thai Nguyen
  • Advised the developer of a real estate project in Hai Phong on its sales documentation
  • Advised the lessor on leasing factory space in an automotive manufacturing complex in Hai Phong to foreign suppliers
  • Advised a 100% Korean-owned seller on the transfer of a factory with land lease rights in an industrial park (2024 – 2025)

Mergers and acquisitions

  • Advised the technology arm of a leading Vietnamese conglomerate on acquiring 51% of a major technology company in Spain (about EUR 35 million)
  • Advised the buyer on acquiring 65% of a ride-hailing technology platform (about USD 5 million)
  • Advised the seller on the sale of 75% of two consumer goods distributors to a Japanese investor (about USD 5 million)

Corporate and commercial

  • In-house counsel on the 2023 Nasdaq listing of a Vietnamese automotive manufacturer
  • Drafted, reviewed and negotiated technology transfer, product development and procurement contracts for machinery, equipment and components worth hundreds of millions of USD with domestic and international suppliers
  • In-house counsel on an mRNA vaccine technology licence and transfer agreement with a US biotechnology company
  • Developed a comprehensive legal compliance system for a group and its member companies
