Biography

Ms. Pham Thi Hai Yen is a Senior Associate at PTN Legal with nearly 14 years of legal experience. Before joining PTN Legal, she spent two years at Vingroup, advising its subsidiaries in the hospitality and education sectors, and nine years at well-regarded law firms including Phuoc & Partners, Global Vietnam Lawyers and DFDL Vietnam.

She has advised on numerous transactions in mergers and acquisitions, corporate and commercial matters, labour, finance and capital markets. Her dual background as in-house counsel at one of the largest private companies in Vietnam and as a practitioner at leading law firms gives her a client-oriented, holistic approach that balances legal compliance with business needs.

Mergers and acquisitions

  • Legal due diligence for the acquisition of part of a real estate project in a coastal reclamation tourism urban area in Ho Chi Minh City (about USD 365 million)
  • Legal due diligence for the acquisition of an entire urban real estate project in Hanoi (about USD 560 million)
  • Legal due diligence and transaction documents for the acquisition of shares in a hospitality chain developer in Vietnam (about USD 41 million)
  • Contracts and closing for the acquisition of existing and new shares by a fintech group to hold up to 60% of a healthcare IT, data analytics and e-commerce company (about USD 38 million)
  • Advice and contracts for the acquisition of a commercial building by a real estate company in Hanoi
  • Legal due diligence and advice to Chinese investors on the acquisition of a postal company in Hanoi and of an industrial park in Nam Dinh

Corporate and commercial

  • Review and negotiation of a hotel management agreement between a top-tier international hospitality group and a Vietnamese hotel chain developer
  • Comprehensive legal due diligence on a sports products manufacturer and distributor for its reorganisation
  • Review of an education franchise agreement between an international education centre and a leading Vietnamese education company

Finance and capital markets

  • Transaction documents for multiple private placements of non-convertible, non-warrant corporate bonds by real estate and trading companies (VND 5,700 – 7,500 billion)
  • Review of credit documents for loans of about USD 128 million to a real estate company and about USD 10 million to a hospital developer from Vietnamese commercial banks
  • Transaction documents and registration of an international bond issuance with a concurrent bond buy-back (USD 250 million)
  • Transaction documents and registration of a foreign loan from an offshore bank (USD 65 million)
